Jakub Podkowa is a Polish-qualified attorney-at-law and a Partner in the Banking and Finance Department at CMS. 
Jakub specialises in banking and finance law. He focuses on advising banks and other financial institutions, as well as borrowers on preparing and negotiating credit documentation.

His experience includes advice related to financing the day-to-day operations of business entities and financing investments in many branches of the economy, with emphasis on the commercial real estate market. He also supervises due diligence analyses and has experience in advising domestic and foreign financial market institutions on regulatory matters, including outsourcing, banking secrecy, setting up branches and representative offices.

Jakub is recommended in the Chambers Global and Chambers Europe rankings in the Banking and Finance category.

Relevant experience

  • A consortium of three banks – Santander Bank Polska S.A., mBank S.A. and Bank Ochrony Środowiska S.A. on financing the construction of the Mennica Legacy Tower – an office complex in Warsaw, with the value of EUR 131 million and PLN 28 million. 
  • Santander Bank Polska S.A. on PLN 83 million (EUR 20m) financing a student’s residence in Kraków including performing limited due diligence review of the borrower and the project. This was one of the very first student housing bank financings in Poland.
  • Getin Noble Bank on a facility of up to PLN 129 million for refinancing debt assumed by one of the leading developers to complete a residential-commercial project in Gdynia.
  • Allianz Real Estate on EUR 300 million refinancing of Posnania shopping centre located in Poznań, Poland.
  • Erste Group Bank AG and Raiffeisenlandesbank Niederösterreich-Wien AG on refinancing of the existing “Galeria Jurajska” shopping centre located in Częstochowa, Poland.
  • Erste Group Bank AG on granting financing to two groups of three jointly and severally liable borrowers from LRC Group, designated for refinancing a real property portfolio in Warsaw and in Łódź. The financing amounted to a total of more than EUR 86 million. 
  • Comprehensive advisory services to a bank on financing granted for the construction of a warehouse building in Lublin with a total lease area of more than 60,000 m2. The advisory services comprised examining the basic property documents, the borrower’s company and the project, as well as preparing loan documentation and conducting negotiations. 
  • Bank Handlowy w Warszawie, mBank and PKO BP in relation to refinancing the entire indebtedness of a leading biofuels producer. The refinancing with a value of approximately PLN 240 million consisted in granting term facilities, overdraft facilities and working capital loans, including with respect to facilities related to guarantees and letters of credit.
  • Aareal Bank on a EUR 110 million facility agreement, entered into, amongst others, between Aareal Bank as the lender and Lilium (the owner of the Marriott Hotel in Warsaw). As a result of the conducted syndication Erste Group Bank became a financing party with its participation share in the facility of EUR 50 million.
  • Banks on financing the construction of a factory in the Suwałki Special Economic Zone with a EUR 140 million investment bank loan.
  • Numerous other financing transactions related to office buildings, factories, wind farms, hotels and warehouses.
